MedPal AI (MPAL) has acquired UK electronic medication administration record (eMAR) provider eMARx in a deal worth up to about £0.47 million, completing what the company describes as its AI-native Health OS for the care home sector.
The acquisition adds a profitable, recurring software business to MedPal's portfolio and gives the group an integrated platform spanning robotic pharmacy dispensing, care home medicine supply, digital medication administration and AI-powered patient support.
eMARx provides software that enables care homes to digitally schedule, verify and record every medication dose in real time, replacing paper records and helping reduce medication errors. MedPal believes combining this platform with its robotic dispensing hub at Sarus Court in Runcorn, care home pharmacy operations and its Juno AI health companion creates a differentiated offering for UK care homes.
The acquisition also strengthens MedPal's recurring revenue base. For the year ended 31 March 2026, eMARx generated unaudited revenue of £0.74 million, up 19% year-on-year, alongside profit after tax of £0.11 million and gross margins of about 82%.
Management sees significant commercial opportunities by bundling eMARx with its pharmacy services. Rather than charging separately for medication administration software, MedPal intends to offer the platform at a substantial discount - or potentially free - to care homes that use its pharmacy services exclusively, supporting customer acquisition while increasing pharmacy revenues.
The deal also broadens MedPal's customer reach. eMARx already serves national care home operators including Care UK, alongside pharmacy groups and independent care homes, providing an established customer base for further cross-selling.
The initial consideration comprises £133,066 in cash and 7.27 million new MedPal shares, with a completion accounts adjustment expected to bring the total consideration to about £0.47 million. All consideration shares are subject to 12-month lock-up.
The acquisition supports MedPal's strategy of building an integrated digital medicines platform across the UK's care home sector. The company estimates the UK has about 16,500 care homes with around 530,000 registered beds, while NHS spending on medicines exceeded £21 billion during 2024/25.
